Dear Lisa,

 

At your request, we are submitting a “Proposal for Services” to furnish engineering services as outlined below for the subject project. This proposal is based on our meeting and is to establish a design of approximately 750’ of walking trail from Crystal Lake Drive to the existing fishing pier. This design will be ADA compliant and the path will be proposed to be a paved walking path.

 

I) SURVEY:                                                                                                                                                                        

A)            TOPOGRAPHY:                                                                                                                                  $ 1,280

                This work shall consist of the following:

                DesignTek Surveying, LLC will prepare a topographic survey following the existing alignment of the gravel walking trail to the existing fishing pier. This topographic survey will be a “strip” topography covering a width of approximately 50’, the path plus twenty feet each side of the existing path.

II) ENGINEERING:

A)            FINAL MEETINGS/CONSULTATION:                                                                  $500 (Budgetary)

                This quote is Budgetary Only. This work will be billed on a Time and Material Basis per the attached Exhibit C, and shall consist of the following:

                Hold meetings with the owner, Village, and necessary jurisdictional agencies in order to expedite and discuss final plan approvals. In addition, contractor meetings and general client consultation/meetings will be billed under this item. Contractor related meetings, field meetings, pre-construction meetings and general construction related meetings will be billed under this item.

                Co-ordination of the project with other design “team” firms (i.e. surveyor, landscape architect, etc.) will be billed under this item.

                General project administration including correspondence, deliveries of plans, secretarial time, etc., will be billed under this item.

                Co-ordination with contractors during the construction phase of the project, including bidding, reviewing proposals, pay request reviews, etc, will be billed under this item.

B)            FINAL ENGINEERING:                                                                                                    $2,400

                This work shall consist of the following:

Using the topographic survey prepared by DesignTek Surveying, DesignTek Engineering will prepare construction drawings for approximately 750’ of walking trail. This design will include final grades for the trail as well as any required grading adjacent to the trail, soil erosion control measures, details and specifications for all proposed items, and culvert sizing calculations for all proposed culvert pipes. These plans will be prepared in conformance to the Village of Homer Glen ordinances as well as ADA compliant and will be prepared for submittal for permit as well as for construction bidding.

C)            ACOE PERMITS:                                                                                                                                $T&M

                This work shall consist of the following:

                DesignTek will work and coordinate with any wetland consultant that may be required to be involved in this project. We do not anticipate the need for wetland consultation, however should this be required, DesignTek will bill time spent with this consultant on a Time and Material basis.

D)            PRINTS:                                                                                                               $1.00/SHEET (24”x36”)

 

 

This proposal does not include any “offsite” work unless outlined specifically within the above items. We have attached the following exhibits as part of this contract agreement:

EXHIBIT A

TERMS AND CONDITIONS

 

SECTION 1 - BASIC SERVICES

1.1          DESIGN TEK ENGINEERING shall provide for the CLIENT professional consultation, advice and services incidental thereto, in all phases of the PROJECT to which this agreement applies.

 

SECTION 2 - ADDITIONAL SERVICES

2.1          If requested and authorized by the CLIENT, DESIGNTEK ENGINEERING shall furnish or obtain from others "Additional Services" at the fees shown on EXHIBIT C.

 

SECTION 3 - CLIENT'S RESPONSIBILITIES

The CLIENT shall do the following in a timely manner so as not to delay the services of DESIGNTEK ENGINEERING:

 

3.1          Designate a person to act as the CLIENT'S representative with respect to the services to be rendered under this Agreement. Such person shall have complete authority to transmit instructions, receive information, interpret and define the CLIENT'S policies and decisions with respect to DESIGNTEK ENGINEERING services for the PROJECT.

 

3.2          Provide all criteria and full information as to the CLIENT'S requirements for the PROJECT, including objectives, constraints, budgetary limitations, and all available information pertinent to the PROJECT.

 

3.3          Arrange for access to and make all provisions for DESIGNTEK ENGINEERING to enter upon public and private property as required for DESIGNTEK ENGINEERING to perform services under this Agreement.

 

3.4          Give prompt written notice to DESIGNTEK ENGINEERING whenever the CLIENT observes or otherwise becomes aware of any development that affects the scope or timing of DESIGN TEK ENGINEERING services.

 

SECTION 4 - PERIODS OF SERVICE

4.1          The various rates of compensation for DESIGNTEK ENGINEERING services are provided for in this Agreement and have been agreed to in anticipation of an orderly and continuous progress of the PROJECT. In the event that the CLIENT modifies or changes the scope, the extent, character, or nature of the PROJECT, or if circumstances arise beyond the control of DESIGNTEK ENGINEERING which would cause performance of DESIGNTEK ENGINEERING services to be delayed, the agreed time within which DESIGNTEK ENGINEERING services are to be performed shall be adjusted in accordance with the extent of the time delay.

 

SECTION 5 - PAYMENTS

5.1          The CLIENT shall pay DESIGNTEK ENGINEERING for the Services rendered, in the amount specified in this Agreement.  Additional services rendered by DESIGNTEK ENGINEERING at the direction of the CLIENT shall be paid for as outlined in Exhibit C.

5.2          The CLIENT shall pay DESIGNTEK ENGINEERING the actual costs of all "Incurred Expenses" in connection with the PROJECT. Such cost items could include, but are not limited to plats, maps, printing charges, photographs, delivery and messenger charges, postage and rental of special equipment. Additional Incurred Expenses shall be paid as outlined on Exhibit C.

5.3          DESIGNTEK ENGINEERING shall submit monthly invoices for contract services, additional services, and incurred expenses. The CLIENT shall make prompt payments in response to DESIGNTEK ENGINEERING monthly invoices.

5.4          If the CLIENT fails to make any payment due DESIGNTEK ENGINEERING for services and expenses within thirty days after receipt of DESIGNTEK ENGINEERING invoice, the amounts due will be increased at the rate of 2.0% per month from said 30th day. The CLIENT'S failure to pay DESIGNTEK ENGINEERING invoices within sixty (60) days of their dates shall consti­tute a material default of this Agreement for which DESIGNTEK ENGINEERING shall have the right to cease performance of all its work and recover termina­tion costs and damages. Legal fees and the time of employees at their billable rates spent in assistance of a collection effort will be billed in addition to the contractual amount due.

 

SECTION 6 - OPINIONS OF CONSTRUCTION COST

6.1          If outlined in the proposal for services, DESIGN TEK ENGINEERING shall prepare an "Opinion of Probable Construction Cost" which shall be based on DESIGNTEK ENGINEERING best judgment as an experienced and qualified professional engineer familiar with the construction industry. DESIGNTEK ENGINEERING however cannot and does not guarantee that the actual Construction Costs will not vary from the opinions of probable cost prepared by DESIGNTEK ENGINEERING.

 

SECTION 7- GENERAL CONSIDERATIONS

7.1          The obligation to provide further services under this Agreement may be terminated by either party upon thirty days' written notice in the event of substantial failure by the other party to perform in accordance with the terms hereof through no fault of the terminating party.

 

7.2                Notwithstanding any contrary terms in the printed form of the Agreement, the CLIENT will not have any right to terminate this Agreement for reasons not the fault of DESIGNTEK ENGINEERING unless all payments have been made for professional services rendered prior to the date of notice of termination.

 

7.3          All documents prepared or furnished by DESIGNTEK ENGINEERING pursuant to this Agreement are instruments of service with respect to the PROJECT and DESIGNTEK ENGINEERING shall retain an ownership and property interest therein whether or not the PROJECT is completed.  Such documents are not intended or represented to be suitable for reuse by the CLIENT or others on extensions of the PROJECT or any other project.  Any reuse without written verification or adaptation by DESIGNTEK ENGINEERING for the specific purpose intended will be at the CLIENT'S sole risk and without liability or legal exposure to DESIGNTEK ENGINEERING.

 

7.4          DESIGN TEK ENGINEERING shall utilize that degree of care and skill ordinarily exercised under similar circumstances by reputable members of the profession. DESIGNTEK ENGINEEING however makes no express or implied warranties by its provision of services under this Agreement. In the event of a claim or demand by the CLIENT against DESIGNTEK ENGINEERING, the CLIENT is limited in the amount which it may recover from DESIGNTEK ENGINEERING to the amount of fees which DESIGNTEK ENGINEERING has collected from the CLIENT in conjunction with the work on the PROJECT. No claim may be made by CLIENT against DESIGN TEK ENGINEERING more than three (3) years after substantial completion of the PROJECT.

 

7.5          Nothing under this Agreement shall be construed to give any rights or benefits in this Agreement to anyone other than the CLIENT and DESIGNTEK ENGINEERING, and all duties and responsibilities undertaken pursuant to CLIENT and DESIGNTEK ENGINEERING and not for benefit of any other party.


EXHIBIT B

ADDITIONAL SERVICES OF DESIGN TEK

 

1)            Any services that are not specifically outlined in the proposal for services shall be considered "Additional Services". Payment for these Additional Services shall be based on the actual time spent at the hourly rates shown on EXHIBIT C.

2)            Services that are not outlined in the proposal for services and could be provided or coordinated by DESIGN TEK ENGINEERING, INC., include, but are not necessarily limited to:

A)            Major revisions to the scope of services including major revisions to the site plans due to client changes, building changes, etc..

B)            Preparing and administering applications for permits other than those outlined in the proposal for services.

C)            Coordinating and/or receiving proposals for services from other professional design consultants, ie. soil consultants, traffic consultants, wetland consultant, environmental impact consultants, and archeological surveyors.

D)            Prepare documents for submittal to FEMA for map revision requests.

E)                  Verification of the accuracy of drawings or other information furnished by the client.

F)                   Attendance at Plan Commission, City Council or other meetings.

G)                  Preparing to serve or serving as a consultant or witness for the client in any litigation, arbitration or other legal or administrative proceeding involving the project.

H)                 Preparation of contract agreements and bid forms for contractor bidding, sending plans and other documents to contractor(s) for bidding purposes.

I)                    Preparation of letter of credit reductions.

J)             Providing construction administrative services as outlined in the proposal for services.

K)           Providing Engineering services during the construction phase of the project.

L)                  Providing of insurance coverage beyond that normally maintained by DESIGNTEK ENGINEERING, INC.
